These Terms of Service (the “Terms”) govern your access to and use of the website located at hedonistasmezcal.com and any related content, features, and services (collectively, the “Site”), operated by Wild Mezcal LLC, doing business as Hedonistas Mezcal (“Hedonistas,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.

These Terms contain a binding arbitration provision and a class-action waiver that affect your legal rights. Please read Section 15 carefully.

1. Eligibility and Age Requirement

The Site and its products are intended solely for adults of legal drinking age. You must be at least 21 years old to access the Site, purchase products, or receive deliveries. By using the Site, you represent and warrant that you are at least 21 years of age. We reserve the right to request age verification at any time and to refuse or cancel any order or delivery that cannot be verified. It is unlawful to purchase alcoholic beverages for resale or for any person under 21.

2. Alcoholic Beverage Sales and Seller of Record

Hedonistas is a mezcal brand. We market our products on the Site, but online orders for alcoholic beverages are processed, sold, and fulfilled by licensed third-party retailer partners through AccelPay, our compliance and checkout provider. The licensed retailer that accepts and fulfills your order is the seller of record for that transaction, and the sale is completed in accordance with the laws of the jurisdiction in which that retailer is licensed. Title to the products passes to you in that jurisdiction, and you are responsible for compliance with the laws of your own state and locality, including any applicable taxes or import limits.

Products are sold and shipped only to states and localities where such sales and shipments are legally permitted. We and our retailer partners reserve the right to limit quantities and to refuse or cancel orders that we believe violate applicable law or these Terms.

3. Orders, Pricing, and Payment

All orders are offers to purchase and are subject to acceptance by the applicable licensed retailer. Prices, product availability, and descriptions are subject to change without notice, and we are not liable for typographical errors. Payment is processed through AccelPay and/or Shopify and their payment processors; by placing an order you authorize the applicable charges. If an order is cancelled for legal, age-verification, availability, or fulfillment reasons, your sole remedy is a refund of amounts paid for the cancelled items.

4. Shipping and Delivery

An adult who is at least 21 years old must be present to sign for delivery. Our carriers will not leave alcoholic beverages unattended and will not deliver to anyone who appears to be under 21 or intoxicated, or who cannot provide valid government-issued photo identification. If delivery cannot be completed after reasonable attempts, or if a shipment is refused, undeliverable, or returned because no eligible adult was available to accept it, you are responsible for any resulting shipping, return, and re-shipment costs, and shipping charges are non-refundable. Risk of loss for products passes to you upon transfer to the carrier, and delivery timeframes are estimates only.

5. Returns and Refunds

Due to the nature of alcoholic beverage products and applicable law, all sales are final and products are non-returnable. If your order arrives damaged, defective, or incorrect, contact us through our contact page within seven (7) days of delivery with your order number and photos, and we (or the applicable retailer) will work with you on a replacement or refund where required by law. This does not apply to buyer’s remorse, delivery refusals, or failure to be available to accept delivery.

6. Accuracy of Information

You agree to provide accurate, current, and complete information when placing an order, including a valid recipient name, age, and address. You are responsible for keeping this information accurate. We are not responsible for orders delayed, cancelled, or misdelivered due to inaccurate information you provide.

7. User-Generated Content

The Site may allow you to submit content such as product reviews, ratings, comments, photos, or other materials (“User Content”). You retain ownership of your User Content, but by submitting it you grant Hedonistas a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute that User Content in any media in connection with the Site and our marketing.

You represent that you own or have the rights to the User Content you submit, that it is accurate, and that it does not violate these Terms or any law or third-party right. You agree not to submit User Content that is unlawful, defamatory, obscene, harassing, infringing, misleading, promotes underage drinking or alcohol abuse, or contains personal information of others. We may, but are not obligated to, monitor, edit, refuse to post, or remove any User Content at our discretion.

8. Intellectual Property

The Site and all content on it, including text, graphics, logos, images, product designs, the Hedonistas and Wild Mezcal names and marks, and the compilation of all content, are owned by or licensed to Wild Mezcal LLC and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of the Site without our prior written consent, except that you may view and use the Site for your personal, non-commercial use.

9. Prohibited Uses

You agree not to: (a) use the Site if you are under 21 or purchase on behalf of anyone under 21; (b) use the Site for any unlawful purpose or in violation of any alcoholic beverage or other law; (c) attempt to gain unauthorized access to the Site or its systems; (d) interfere with or disrupt the Site; (e) use any automated means to scrape, harvest, or collect data from the Site; (f) misrepresent your identity or age; or (g) resell products purchased through the Site.

10. Third-Party Services and Links

The Site relies on and may link to third-party services and websites, including AccelPay, Shopify, payment processors, email service providers, mapping and store-locator tools, and social media platforms. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is subject to their own terms and privacy policies.

11. Email Communications and Marketing

By providing your email address or subscribing on the Site, you consent to receive marketing and transactional emails from us. You may unsubscribe at any time using the link in any marketing email or by contacting us. We do not send SMS or text-message marketing.

12. Disclaimers

The Site and all products and content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any content is accurate or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by law, in no event will Wild Mezcal LLC, its officers, members, employees, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Site or products, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Site or a product will not exceed the amount you paid for the product giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Wild Mezcal LLC and its officers, members, employees, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your User Content, your violation of these Terms, or your violation of any law or third-party right.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Site will be resolved by binding individual arbitration administered by a recognized arbitration provider (such as the American Arbitration Association) under its consumer arbitration rules, seated in California. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Wild Mezcal LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.

Opt-out. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice through our contact page stating your name and intent to opt out. If you opt out, disputes will be resolved in the state or federal courts located in California, and you and we consent to the jurisdiction of those courts.

16. Accessibility

We are committed to making the Site accessible to the widest possible audience and strive to conform to recognized accessibility guidelines such as the Web Content Accessibility Guidelines (WCAG). If you encounter any difficulty using the Site or need assistance, please contact us through our contact page and we will make reasonable efforts to assist you and address the issue.

17. Copyright / DMCA Notices

We respect the intellectual property rights of others. If you believe content on the Site infringes your copyright, please send a notice through our contact page that includes: (a) your signature (physical or electronic); (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location on the Site; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner’s behalf. We may remove allegedly infringing material and terminate repeat infringers.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

19. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and Wild Mezcal LLC regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them freely.
